In this Agreement ‘ESD’ refers to ‘Executive Search Dating Inc.’ and an ‘introduction’ means the presentation by ESD of a member profile to you; ESD RESERVES THE RIGHT TO REFUSE ANY APPLICATION FOR MEMBERSHIP.

Conduct

2. By signing this Agreement you agree not to demonstrate unprofessional, unreasonable, offensive, abusive or unacceptable behavior while engaging in any ESD related activities. If you do, ESD may, in its absolute discretion, terminate your membership immediately. No refunds or exchanges will be provided by ESD upon any membership termination.

Membership Termination

3. You may terminate your membership at any time upon written notice to ESD. ESD may terminate your membership if one (1) or more written or oral complaints of inappropriate behavior are made against you by another ESD Member, an ESD match or by an ESD representative, or if you default on any payment or term of this Agreement.  No refunds or exchanges will be provided by ESD to you upon any membership termination. 

Your Responsibility

4. ESD introduces Members based on the judgment of ESD’s employees who may take into account the general criteria and guidelines specified by its Members.  You shall be solely responsible for your interactions with other ESD Members and/or matches.  ESD makes no guarantees or warranties with respect to these introductions.  You have no legal recourse against ESD and/or ESD’s representatives regarding these personal interactions.

Disclaimer

6. You warrant and represent that all information supplied to ESD by you is true. If any information is found to be false, your membership may be terminated by ESD without any refund.  ESD does not guarantee the accuracy of the information concerning its Members and/or matches, as this information is accepted by ESD as supplied by those Members and/or matches.

Indemnification

7. You agree that you will indemnify and hold harmless ESD, its officers, directors, employees, agents, affiliates and third parties, for any losses, costs, liabilities and expenses, (including reasonable attorney’s fees on a solicitor and his own client basis) relating to or arising out of your use of ESD’s services, including any breach by you of the terms of this Agreement.
